2019 NSXCA Board of Directors Election
The governing body of our Club, the NSXCA Board of Directors is made up of four (4) elected officers and six (6) regional representatives. The regional representatives are elected by members of their region. All Board members (officers and regional representatives) serve 3-year terms. This year, we will be electing our Treasurer and the regional representatives from the Southwest and Northeast, for three year terms.
Nominations. The Secretary will accept nominations until August 15, 2019. Each nomination must be accompanied by a written acceptance from the person nominated. It is the obligation of the person making the nomination to acquire this written acceptance and to send it, or to have it sent to the Club Secretary.
Campaigning. Nominees with access to the Club’s email lists or MailChimp may not use the Club’s contact information to campaign; however, personal emails to members are permitted. Nominees may not post on the Club’s website for campaign purposes.
Campaign Statements. Written campaign statements (not to exceed 250 words) will be accepted from nominees up to August 31, 2019 and will be distributed to Club members, along with ballots by approximately September 15, 2019.
Voting. Voting will take place via NSXCA.org. In addition, ballots emailed to firstname.lastname@example.org will be accepted until 5:00 PM on September 30,
2019. Results will be announced at NSXPO 2019 on Saturday, October 12, 2019.
Nomination Form. If you are interested in running for Treasurer or regional representative for the Southwest or Northeast region this year or interested in nominating someone else for a position, please complete the nomination form below and also posted on NSXCA.org and return to the Secretary, NSX Club of America, Inc. via the email box at info@NSXCA.org. The form also may be sent by using the contact form on NSXCA.org and both the form and acceptance by the nominee must be received by August 15, 2019. Any reasonable rendition of the form is also acceptable.
Nominees. You may nominate yourself. Please note that only
members of the Southwest region are eligible to be the regional representative
of the Southwest region and only members of the Northeast region are eligible
to be the regional representative of the Northeast region. There is no restriction on multiple
terms in any Board position. REMEMBER, THE NOMINATION MUST INCLUDE OR BE
FOLLOWED BY A WRITTEN ACCEPTANCE NO LATER THAN AUGUST 1, 2019.
Qualifications. No specific qualifications are required to serve as an officer or regional representative on the Board of Directors, although a 3-year commitment, energy, maturity and enthusiasm are extremely desirable. The Board also benefits by its members having leadership experience and practical business and organizational skills. A brief description of the responsibilities and expectations of the positions up for election this year, as described in the Bylaws, follows.
Treasurer: The Treasurer shall have custody of all monies, debts, obligations and assets of the corporation. He or she will receive all monies of the Corporation and deposit them in a bank insured by the Federal Deposit Insurance Corporation. He or she will control and supervise the assets of the Corporation and the payment of debts and obligations. The Treasurer shall give bond, at the expense of the Corporation, when and in the amount designated by the Board of Directors. The Treasurer will publish a full and complete report of the financial status of the Corporation at the annual meeting of Members and at the end of each fiscal year. The Treasurer will cause to be maintained double entry books of account which will reflect the full and correct financial status of all receipts, disbursements, balances, assets, and liabilities of the Corporation. All checks and other orders for payment of monies of the Corporation will be signed by the Treasurer or such other officer(s) as designated by the Board of Directors. Upon request of the Board, the Treasurer will submit his or her books and records to an auditing committee formed by the Board or a Certified Public Accountant designated by the Board of Directors at the end of each fiscal year. The Treasurer will make the books and records available for inspection by any Member or his or her agent or attorney for any proper purpose at any reasonable time subject to the limitations set forth below. On a monthly basis the Treasurer will provide a list of Members whose dues are thirty days overdue to the Board of Directors. The Treasurer will maintain the names and addresses of Members as dues payments are received.
For the past three years the Treasurer also has functioned as webmaster and been the lead on the operation of the NSXCA website and database. NSXCA currently uses WordPress, WooCommerce, MailChimp and Go Daddy.
Regional Representatives: The regional representatives are the members’ spokespeople to the Board of Directors. Each region will be responsible for electing one regional representative from its regional membership to the Board of Directors. Regional Representatives shall be responsible for communicating with Members in their respective regions and coordinating member events therein. The regional representatives’ responsibilities include, but are not limited to, sharing information about regional events and presenting regional financial reports to the Board of Directors, notifying the Board of Directors about events and activities, maintaining close contact with the leadership of their region, bringing concerns of their members to the attention of the Board of Directors and communicating and enforcing club policies as they relate to the clubs’ regions as specified by the Board of Directors. Regional Representatives may have such additional responsibilities as are set from time to time by the Board of Directors. The Regional Representatives are also responsible for administering the Regional Funds allocated by membership. Regional Representatives have authority to bind the Corporation only in connection the regional events and only in connection with allocated region funds. This includes submitting requests and records to the Club’s Treasurer.
